If you are looking to join an established company, we have an excellent opportunity for an Associate Attorney to join our Corporate Legal team.  In this newly created role, you will work directly with our senior attorneys to draft, negotiate and manage Software License Agreements, SaaS Subscription Agreements, and other industry-specific and corporate documents for the Harris Operating Group.


The Harris Operating Group is a part of Constellation Software and is headquartered in Ottawa, Canada. The ideal candidate will be based in our Niagara Falls, NY office.

Primary Functions

The Associate will work directly with our senior attorneys to:


  • review, negotiate, draft and manage software licensing and maintenance agreements, professional services agreements, SOWs, Business Associate and Non-Disclosure Agreements, and other documents;
  • create and control templates of agreements and contracts;
  • coordinating actions between business units and the legal department;
  • facilitate communications throughout the contracting process with management;
  • serve as a liaison between internal and external parties during contract development and  negotiation stages;
  • coordinate, process and track invoices and expenses for outside counsel legal work;
  • update existing documentation for changes in processes;
  • prepare control documentation, flowcharts and policies, and procedures;
  • gather, organize and prepare documents for production pursuant to regulatory requests, demands or subpoenas.



Our business is growing and the ideal candidate for this position is a self-starter, professional, responsible, and committed to helping us meet all of our internal and external clients’ needs.  The ideal candidate will possess the following qualifications:


  • JD required
  • License to practice law in New York State
  • 3+ years’ experience preparing and reviewing commercial contracts
  • Professional attitude with a strong sense of discretion
  • Excellent interpersonal communication skills
  • Strong organizational abilities
  • Experience in software technology industry or knowledge and understanding of intellectual property rights laws, guidelines and policies preferred
  • Extensive contract drafting and editing experience including the ability to draft terms without the need for template documents
  • Strong research skills
  • Proficiency with Windows and MS Office Programs, including Word, Excel, and Adobe Acrobat
  • Must be detail oriented, organized, have an ability to work independently and to multi-task
  • Personable, responsive, able to interact with other attorneys and work with senior leaders, department directors, and administrators, as well as third parties
